End-User License Agreement (EULA)

This End-User License Agreement (“EULA”) is a legal agreement between you (referred to as “User” or “you”) and [Your Company Name] (referred to as “Company,” “we,” or “us”) governing the use of both the Admin Console and the associated mobile application (referred to as the “App”). By accessing or using the Admin Console or installing and using the App, you agree to be bound by the terms and conditions of this EULA. If you do not agree with these terms, you must not use the Admin Console or install the App.

1. License Grant

1.1 Admin Console

Subject to your compliance with the terms of this EULA, we grant you a limited, non-exclusive, non-transferable license to access and use the Admin Console for the purpose of managing your account, channels, and utilizing the services provided by the App. This includes the ability to upload, publish, and manage content within the scope of the services provided.

1.2 App

Subject to your compliance with the terms of this EULA, we grant you a limited, non-exclusive, non-transferable license to install and use the App on your compatible mobile device solely for your personal or internal business purposes. This includes accessing and consuming content made available through the App.

2. Restrictions

You shall not, and shall not allow any third party to:

  • modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Admin Console or the App;
  • distribute, license, sell, lease, or otherwise commercialize the Admin Console or the App;
  • remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Admin Console or the App;
  • use the Admin Console or the App for any illegal, harmful, or unauthorized purpose;
  • use the Admin Console or the App in a manner that violates any applicable laws, regulations, or third-party rights;
  • circumvent or attempt to circumvent any security measures or access controls of the Admin Console or the App.

3. Ownership and Intellectual Property

The Admin Console and the App are protected by copyright, trademark, and other intellectual property laws. All rights, title, and interest in and to the Admin Console and the App, including any and all intellectual property rights, remain with us or our licensors. This EULA does not grant you any rights to use our trademarks, logos, or other brand elements.

4. Privacy and Data Protection

The collection, use, and disclosure of personal information by the Admin Console and the App are governed by our Privacy Policy. By using the Admin Console and the App, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

5. User Responsibilities

5.1 Admin Console User Responsibility

As a user of the Admin Console, you are responsible for the information you upload, publish, or manage through the App. You are solely responsible for ensuring that you have the necessary rights and permissions to publish such content. You understand that the Company does not endorse or verify the accuracy, legality, or appropriateness of the content published through the App, and you assume all risks associated with the publication of such content.

5.2 File Security

As an Admin Console user, you are responsible for the security of the files you publish or upload through the App. You must take appropriate measures to ensure the security and integrity of your files, including protecting them from unauthorized access, viruses, malware, or other malicious activities.

5.3 Prohibited Content

You agree not to upload, publish, or distribute any malicious files or content that may harm or disrupt the App, other users, or third parties. This includes but is not limited to files containing viruses, malware, or any other harmful code.

6. Jurisdiction and Governing Law

This EULA shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of laws principles. Any dispute arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts of Estonia.

7. Entire Agreement

This EULA constitutes the entire agreement between you and us regarding the use of the Admin Console and the App and supersedes all prior agreements and understandings, whether written or oral.
